Role & Responsibilities:
The Corporate Governance Team of the General Counsel’s Organization is seeking a Manager & Counsel, Assistant Secretary to advise on a variety of corporate governance and related matters at the parent level.
Here’s just some of what you’ll do in this role:
Support the Corporate Secretary’s Office on all corporate secretarial functions with respect to the American Express Company, the publicly traded parent company
Provide support for the Board of Directors and executive leadership team on governance- and shareholder-related matters
Assist with managing Board and Committee materials, including preparing agendas and minutes, reviewing presentations, and drafting meeting materials, resolutions, and consents
Assist with drafting and maintaining governance policies, including Committee charters and related processes and procedures
Assist with the drafting and preparation of the American Express Proxy Statement and managing the shareholder proposal process
Assist with preparation for the Annual Meeting of Shareholders
Research and benchmark securities law and governance issues, monitor best practices, and provide proactive updates and e-mails/memos to team members
Advise on compliance with SEC and NYSE requirements; insider trading, Section 16, and executive compensation matters
Advise on ISS, Glass Lewis, and other proxy advisory service positions and corporate responses
Assist with management of the subsidiaries of the American Express Company (as needed) and other special projects
Minimum qualifications
Bachelor’s degree and J.D.; good standing member of a state bar
3 years of related legal experience, including law firm experience and ideally one year in an in-house legal role
Strong knowledge of U.S. corporate and securities laws
Experience with coordination and filing of SEC reports
Demonstrated knowledge of board governance, public company best practices, and related protocols and procedures
Preferred qualifications
Business oriented approach to problem solving
Strong interpersonal skills
Excellent legal judgment, analysis, and drafting skills
Detail oriented
High level of personal accountability
Ability to work well under pressure and to manage heavy workload in a challenging and fast-paced environment
Executive presence and excellent oral and written communication skills
Qualifications
Salary Range: $110,000.00 to $190,000.00 annually bonus benefits
